These Terms and Conditions govern the contractual relationship between Visual Luminaries GmbH (hereinafter referred to as "VISUALANTIES", "we", "us", or "our") and our customers (hereinafter referred to as "Customer", "you", or "your") for all services and products offered by VISUALANTIES.
By placing an order or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
VISUALANTIES offers various services and products in the field of LED lighting design, installations, and performances, including but not limited to:
The specific scope, specifications, and details of the services or products will be defined in individual contracts or order confirmations.
All quotations provided by VISUALANTIES are non-binding unless explicitly stated otherwise. A contract is formed only upon our written confirmation of your order or upon commencement of service provision.
Any changes or amendments to the contract must be made in writing to be valid.
All prices are in Euro (€) and do not include VAT unless explicitly stated otherwise. Additional costs for shipping, installation, or other services will be specified separately.
Unless otherwise agreed, the following payment terms apply:
Invoices are due for payment within 14 days of the invoice date without deduction. In case of late payment, we reserve the right to charge interest at the statutory rate.
Delivery and performance dates are approximate and non-binding unless explicitly agreed as fixed dates. VISUALANTIES is not responsible for delays due to force majeure or other circumstances beyond our control.
For installations and performances, the Customer must ensure that the venue is accessible and prepared according to our specifications. Additional costs arising from inadequate preparation will be charged to the Customer.
For rental equipment, the Customer is responsible for the proper use, storage, and security of the equipment during the rental period. The Customer is liable for any damage, loss, or theft of the equipment.
Rental equipment must be returned in the same condition as it was provided, normal wear and tear excepted. Late returns will incur additional rental fees.
All intellectual property rights, including but not limited to designs, concepts, software, and technical solutions, remain the property of VISUALANTIES unless explicitly transferred in writing.
The Customer may use the provided services and products only for the agreed purpose and duration. Any further use, reproduction, or distribution requires our written consent.
VISUALANTIES warrants that our services and products will be free from material defects at the time of delivery or performance. The warranty period is 12 months from delivery or acceptance.
In case of defects, VISUALANTIES has the right to choose between repair and replacement. If repair or replacement is not possible or fails, the Customer may request a reduction in price or, in case of significant defects, withdraw from the contract.
VISUALANTIES' liability is limited to damages caused by intent or gross negligence. Liability for slight negligence is excluded except for personal injury or breach of essential contractual obligations.
Cancellations must be made in writing. The following cancellation fees apply:
VISUALANTIES reserves the right to terminate the contract with immediate effect if the Customer breaches essential contractual obligations or if circumstances arise that make the performance of the contract impossible or unreasonable.
VISUALANTIES processes personal data in accordance with applicable data protection laws. For details, please refer to our Privacy Policy.
These Terms and Conditions are governed by Austrian law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
The place of performance and exclusive place of jurisdiction for all disputes arising from or in connection with the contractual relationship is Vienna, Austria.
Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall not be affected.
